TERMS OF USE



1. INTRODUCTION

  • All Your dealings on the Portal shall be in strict compliance with the policies, regulations, codes of conduct and ethics of the Nigerian Stock Exchange (the “NSE Rules”). You are advised to familiarise Yourself with these policies, regulations, codes of conduct and ethics.
  • If any Term or Condition or part of any Term or Condition herein is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable or illegal, the other provisions shall remain in force. If any invalid, unenforceable or illegal provision is deleted, the provision shall apply with whatever modification is necessary to give effect to the commercial intention of the parties.


2. REGULATORY COMPLIANCES

  • These Terms and Conditions shall apply to real time trade submission on the floor of the Nigerian Stock Exchange by registered clients of Bestworth Assets & Trust Limited (the "Company") on and through the Company’s web portal (the “Portal”).
  • Please read these Terms and Conditions carefully before proceeding on Portal. By using the Portal, You agree unequivocally to the Terms and Conditions contained herein, which govern use of the Portal.
  • These Terms & Conditions are subject to amendment, modification or substitution by the Company at any time. Your continued use of the Company’s services and the Portal after any such amendment, modification or substitution shall signify Your acceptance of any new terms and conditions. It is recommended that you visit the Company’s website regularly to check for any updates or amendments to these Terms & Conditions.


3. PERMISSIONS AND WARRANTIES

  • You are not permitted to link any other website to the Portal without obtaining the prior written consent of the Company.
  • Access to the Portal is at Your own risk. The Company does not represent or warrant that the use of the Portal or any material downloaded from it will not cause damage to property, including but not limited to loss of data or computer virus infection.
  • The Company shall not be responsible for any loss, omission or damage that may arise in connection with Your use of the Portal due to IT or network downtime. The responsibility for the security of Your password associated with the Portal shall solely be Yours at all times.
  • The Company will make all reasonable attempts to ensure that the Portal is fully operational at all times. However, the Company makes no guarantees as to fitness for purpose of the Portal.
  • The Company will use every reasonable endeavor to ensure the integrity and security of the server associated with the Portal, however, the Company does not guarantee that the server will be free from unauthorized users or hackers.
  • Under no circumstances shall the Company be liable directly or indirectly for special, punitive, or consequential damages that result in any way from Your use of or inability to use the Portal We supply or are associated with, to access the portal or any part thereof, or You or any third parties reliance on or use of information, or services provided on or through the Portal or that result from interruptions, delays in operation or transmission or any failure of performance in connection with the Portal. If You are dissatisfied with the Portal or any of these Terms and Conditions, or other rules, policies, guidelines, or regulations applicable to use of the Portal, such as the NSE Rules, Your sole exclusive remedy is to discontinue using the Portal.


4. INDEMNIFICATION

  • You shall indemnify, defend, and hold harmless the Company from all liabilities, penalties, losses, damages, costs, expenses, attorney’s fees, causes of action or claims caused by or resulting directly or indirectly from Your use of the Portal.


5. REFUSAL OR DISCONTINUANCE OF SERVICE

  • The Company reserves the right to refuse or discontinue service to You at the Company’s sole discretion. The Company may deny You access to all or part of the Portal without notice if You engage in any conduct or activities that the Company in its sole discretion believes violates any of these Terms and Conditions. The Company shall have no responsibility for any consequences resulting from such discontinuance or lack of notification. You agree that the Company has the right to monitor use of the Portal from time to time and to disclose any information as necessary to satisfy any applicable law or to protect itself.


6. YOUR RESPONSIBILITIES - SECURITY

  • You agree that the security of Your account password is solely Your own responsibility. You further agree that if you believe that Your account password has been compromised in any way, You will notify the Company immediately via email to info@bestworth-ltd.com
  • You shall be held responsible for any misuse or compromise to Your account of which The Company is not properly notified. You agree that if any security violations are believed to have occurred in association with Your account. The Company has the right to suspend all access to Your account pending an investigation and resolution. You also agree that the Company has the right to cooperate in any government, legal or other investigation regarding any aspect of its services or Your use of the Portal.


7. AUTHORIZATION OF ELECTRONIC MANDATES

In consideration of Bestworth Assets & Trust Limited (and its owners, suppliers, consultants, advertisers, affiliates, partners, employees or any other associated entities, all collectively referred to as 'associated entities' hereafter) acting on any mandates given via email, brokerage account and all other electronic channels regarding Your stock-broking account with Bestworth Assets & Trust Limited (the "Services"), you hereby confirm and accept that:

  • It is Your responsibility to keep Your profile details, including but limited to, Your user name, password and other electronic channel details, private and confidential in order to prevent unauthorized access to Your account with Bestworth Assets & Trust Limited.
  • You shall notify Bestworth Assets & Trust Limited of any suspicious or compromising email, message or notification regarding Your account before taking any action in respect of that notification. Any transaction executed on Your account before Bestworth Assets & Trust Limited is notified of such compromise will be binding on you.
  • Bestworth Assets & Trust Limited is authorized by You to act on Your mandates, transmitted via any of the referenced electronic channels registered under Your name and recorded with Bestworth Assets & Trust Limited, without bearing Your signature or handwriting; and is under no obligation to verify the identity of the individual sending the mandate or the origin of the mandate in Your name, so that any transaction made pursuant to the mandate shall be binding upon you.
  • You are bound by every mandate sent via any of the referenced electronic channels which have been acted upon by Bestworth Assets & Trust Limited, whether or not a subsequent mandate issued by you to revoke the previous one has been received by Bestworth Assets & Trust Limited.
  • It is Your responsibility to confirm that a mandate sent by you has been successfully submitted on the Bestworth Assets & Trust Limited database and has been reflected on account.

Proprietary Rights to Content

  • You acknowledge that the content, service and software (including but not limited to text, sound, photographs, graphics or other material contained in any communication, sponsor advertisements or messages, whether by its owners, its advertisers, affiliates or partners) of Bestworth Assets & Trust Limited are protected by copyrights, trademarks, service marks, patents and/or other proprietary rights and laws; therefore, You are only permitted to use content, service or software as expressly authorized by Bestworth Assets & Trust Limited, its advertisers, affiliates and partners.

Liability Disclaimer

  • The use electronic channels to make use of the Services offered under this Agreement, is at Your sole risk.
  • Bestworth Assets & Trust Limited expressly disclaims any and all express and implied warranties, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement. Bestworth Assets & Trust Limited shall not be liable or responsible for those guarantees, warranties and representations, if any, offered by Bestworth Assets & Trust Limited’ advertisers, partners, manufacturers of merchandise or suppliers of its Services. No advice or information, whether oral or written, obtained by you from Bestworth Assets & Trust Limited or through any other source shall create a warranty not expressly made herein.
  • The contents, information, software, products, features and other services by Bestworth Assets & Trust Limited may include inaccuracies or typographical errors. Bestworth Assets & Trust Limited may make improvements and/or changes from time to time to correct these inaccuracies or errors. Bestworth Assets & Trust Limited services may be temporarily unavailable from time to time due to required maintenance, telecommunications interruptions, or other disruptions. Bestworth Assets & Trust Limited shall not be liable to any user or member or any third party in offering the Services. Bestworth Assets & Trust Limited can/may exercise its right to modify or discontinue any or all of the Services at any time and for any reason, as long as it is in its best interest to do so.


8. YOUR ACCEPTANCE OF THESE TERMS AND CONDITIONS

  • By using this Portal, You are stating and acknowledging that you have read the aforementioned Terms and Conditions and that you understand these Terms and Conditions and agree to be bound by them.
